Terms of Service

Welcome to Wakalti. These Terms of Service ("Terms") govern your use of the Wakalti platform. By creating an account or using the Service, you agree to these Terms.

About Wakalti

Wakalti is a management platform for real estate agencies in Tunisia. It brings an agency's register of property offers and its register of purchase demands into one database, matches buyers against new offers automatically, and connects the agency to WhatsApp, Instagram, Messenger and Telegram through an assistant that answers enquiries and books visits.

Definitions

• Service refers to the Wakalti platform, its web application and its messaging assistant
• User, You, or Your refers to the person or entity using Wakalti
• Organization refers to an agency's workspace, which is the boundary separating one agency's data from another's
• Content means the records, contacts, media and messages you enter into or route through the Service
• Account refers to a registered user account

Acceptance of Terms

By accessing or using the Service you confirm that you are at least 18 years old, that you have authority to bind the agency you are acting for, and that you accept these Terms. If you do not agree, do not use the Service.

Use of Service

Permitted Use

You may use Wakalti to manage your agency's properties, purchase demands, contacts, appointments and commissions, to communicate with people who contact your agency, and to collaborate with the colleagues you invite into your Organization.

Prohibited Use

You may not:

• Record personal data about someone where you have no lawful basis to do so
• Send unsolicited bulk messages through a connected channel, or use the assistant to send content that would violate the rules of WhatsApp, Instagram, Messenger or Telegram
• Upload content that infringes another party's intellectual property, or that is unlawful, misleading or defamatory
• List a property you have no mandate or authority to market
• Attempt to access another Organization's data, probe or circumvent our security controls, or interfere with the Service's operation
• Scrape or bulk-export the Service other than through the export features we provide
• Resell or sublicense access to the Service without our written agreement

Account Terms

Account Creation

You must provide accurate information when creating an account and keep it current. You are responsible for the confidentiality of your credentials and for everything done under your account. Notify us promptly of any unauthorised use.

Organization Membership and Roles

An Organization has owners, admins and members, and the permissions attached to each role determine what its holder can see and change. Whoever creates an Organization is responsible for who they invite into it and for the roles they grant.

Account Termination

You may stop using the Service and close your account at any time. We may suspend or terminate an account that breaches these Terms, that is used unlawfully, or that puts the Service or other users at risk. Where circumstances allow, we will give notice first.

Content and Ownership

Your Content

You retain all rights to the Content you put into Wakalti. You grant us a limited licence to host, store, transmit and display it strictly for the purpose of operating the Service for you. You are responsible for having the right to record and process that Content, including the personal data of your contacts.

Our Content

The Service itself — its software, design, and the Wakalti name and marks — belongs to us and is protected by intellectual property law. These Terms grant you a right to use the Service, not ownership of it.

Exports

Your records remain yours. The Service provides export features, and you may use them to take your data with you at any time.

The Messaging Assistant

The assistant generates replies using third-party AI models. Its output can be wrong, incomplete or unsuitable, and it is not a substitute for professional judgement. You are responsible for what is sent from your agency's channels, including for reviewing the assistant's behaviour and configuring it appropriately. Nothing the assistant produces constitutes legal, financial or valuation advice.

Service Availability

No Warranty

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data matching will surface every relevant result.

Service Changes

We may add, change or remove features, and we may impose or adjust limits, as the Service evolves. We will give reasonable notice of changes that materially reduce functionality you rely on.

Third-Party Dependencies

Parts of the Service depend on platforms we do not control, including WhatsApp, Instagram, Messenger and Telegram. If one of those platforms changes its rules, restricts access, or suspends your account there, the corresponding Wakalti functionality may stop working. That is outside our control and is not a breach of these Terms.

Limitation of Liability

To the maximum extent permitted by law, Wakalti shall not be liable for any indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost business, or lost or corrupted data, arising from your use of or inability to use the Service. Our total aggregate liability arising out of these Terms shall not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Indemnification

You agree to indemnify and hold us harmless from any claim, damage, loss or expense arising from your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right — including any claim by a person whose personal data you recorded in Wakalti.

Privacy and Data Processing

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Where we process the personal data of your contacts, we do so as your processor and on your instructions; you remain the controller of that data and are responsible for having a lawful basis to record it.

Fees

Where a paid plan applies, fees, billing period and included limits are those presented at the time of subscription. Unless stated otherwise, fees are non-refundable for the period already served. We will give notice before any price change takes effect.

Intellectual Property Claims

If you believe Content on the Service infringes your intellectual property, contact us with enough detail to identify the material and your rights in it. We will investigate and, where appropriate, remove the material.

Governing Law and Disputes

The governing law and the competent forum for disputes have not yet been fixed for this version of the Terms. In the meantime, we ask that you contact us first so we can try to resolve any dispute directly; most issues are settled that way.

Severability

If any provision of these Terms is held unenforceable, that provision shall be limited or removed to the minimum extent necessary and the remaining provisions shall remain in full force.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.
